UK Modern Slavery Act Statement For the year ended December 31, 2018

Article 54 of the United Kingdom Modern Slavery Act of 2015 (the “MSA”) requires each company carrying on any business in the United Kingdom (“U.K.”) and having total global annual turnover of £36 million or more to provide a disclosure statement concerning their efforts, if any, to address the issues of human trafficking and slavery in their business and supply chains. Slavery and human trafficking can occur in many forms, such as forced labor, child labor, domestic servitude and workplace abuse. We use the terms ‘human trafficking and slavery’ to encompass all various forms of coerced labor.

Rowan Companies plc (the “Company”) is a global provider of offshore contract drilling services to the international oil and gas industry, currently operating in the United States and Mexico sectors of the Gulf of Mexico, the U.K. and Norwegian sectors of the North Sea, Turkey, the Middle East and Trinidad.

The Company is committed to high ethical standards and conducting its business in compliance with the principles laid out in the MSA and applicable human rights, labor and employment, discrimination, health and safety, and immigration laws of the countries in which we operate. We do not condone or use child labor, forced labor or human trafficking in any of our operations. We also endeavor to engage with other companies that embrace similar values and respect for human rights.

The Company maintains a Code of Business Conduct and Ethics, available on the Company’s website at that prohibits human trafficking and slavery in all forms, and we expect all employees and everyone with whom we do business to comply with our Code and the same standards and laws. Our suppliers are notified of the Company’s expectations for business conduct in the terms of our standard agreements.

Failure to abide by the Company’s Code of Business Conduct and Ethics can result in corrective action including termination of employment or the business relationship. The Company also maintains a Helpline for reporting any suspected violations or improper activity, whether within our business or supply chain. Any claims are vigorously investigated and remediation is taken if warranted.

Approved by the Board of Directors on behalf of Rowan Companies plc and applicable U.K. subsidiaries and signed by:
